Yearly Membership Agreement

This is an agreement between Scott Joseph, President, and CEO of Me Plus Ultra, (“The Company”) and Me Plus Ultra Members (“The Client”).

By signing below, you are acknowledging that you have read, agree to, and accept all the terms and conditions contained in this Agreement.

The Company is the creator, founder, and owner of Me Plus Ultra, which provides mastermind group facilitation, mastermind group video conferences (live and recorded), mastermind group agendas, mastermind group resources, and a private Facebook group. In addition, the Company provides products, forms, and exercises to enhance the overall experience (hereinafter known as the “Program”).

The Membership Commitment Period is 12 months effective from date of sign-up.

The 12-Month Me Plus Ultra Membership Includes:

• 12-month access to all exclusive Me Plus Ultra meetings, resources, and merchandise.
• Admission to two Business Bourbon & Cigar events per year.
  • Flight, hotel, and transportation to and from the event must be paid for by the member.
• Three pre-scheduled live virtual meetings per month, for the duration of the Membership Commitment Period.
• Access to Member Exclusive resources that include:
  • Past recorded meetings.
  • Private Me Plus Ultra Facebook group.
• Direct interaction and communication in live virtual meetings and at the two Business Bourbon & Cigars leadership retreats with President, and CEO Scott Joseph.
• Exclusive merchandise.

You also understand that any / all scheduled meetings, calls, or other benefits expire at the end of the Membership Commitment Period and will not be carried over. The Membership Commitment Period is listed above. It is important to note that the Client’s benefits must be used during the Commitment Period. They will not carry over to any subsequent cycles of the Me Plus Ultra Program or any other program or service/ product offering.

Seeking Advice from Legal Professionals

Me Plus Ultra will invite experts from time to time to provide insights on a variety of business topics that may include legal, tax, and accounting/finance matters. Me Plus Ultra is not qualified to provide legal, tax, or accounting advice for any State, regional or national location. The Client should refer all legal, tax, and accounting related inquiries to appropriately qualified licensed professionals (licensed attorney, certified public accountant, or licensed financial advisor).

Your Commitment

The value of a Me Plus Ultra membership is that you will have a designated network of like-minded professionals, entrepreneurs, and mentors. You will have the opportunity to learn from other mastermind group participants, invited guest speakers, communicate with President and CEO Scott Joseph, and have unlimited access to the online resources for the duration of your membership.

You are responsible for creating your own results. While not required, your commitment to attending and participating in the live virtual group mastermind sessions and the Business Bourbon & Cigars leadership retreats is crucial to your success, the success of other members, and to the success of Me Plus Ultra.

You agree to try and participate in every live virtual mastermind session per month unless a true emergency arises, and to attempt to work your other appointments around pre-scheduled mastermind group meeting dates and times. This way, you will receive full benefits from Me Plus Ultra, which includes both giving and receiving advice and ideas during mastermind group meetings.

If selected to be in the Hot Seat (when applicable), you must commit to attend the scheduled meeting on time. You must complete the Hot Seat Preparation form and submit it no less than 7 days prior to your scheduled Hot Seat. All Hot Seat participants are required to meet with the President, and CEO Scott Joseph no later than 5 days prior to the scheduled meeting to optimize the group’s mastermind session. Should a true emergency arise, you will be required to notify the moderator as soon as possible.

No Access Sharing

By signing below, you agree that your username, password, and access to materials will be used solely by you. You will not share your username or any materials with anyone who has not paid to be a member of Me Plus Ultra and will not allow anyone to see your computer/ device screen or listen or participate in any meetings as part of the Program.

Privacy and Confidentiality

We respect your privacy, and we insist that you respect the privacy of fellow Me Plus Ultra participants and the Me Plus Ultra company.

By signing below, you agree not to violate the copyright, trademark, or privacy rights of any Me Plus Ultra members or of the Me Plus Ultra company. Any confidential information shared by Me Plus Ultra members or any representative of the Me Plus Ultra company is confidential and proprietary and belongs solely and exclusively to the member who discloses it or to the Me Plus Ultra company. You agree not to disclose such information to any other person or use it in any manner other than in the discussion with other Me Plus Ultra participants during live Me Plus Ultra mastermind group sessions.

You agree that all materials and information provided to you by the Me Plus Ultra company is protected by United States copyright and may only be used by you as authorized by the Me Plus Ultra company; reproduction, distribution, and sale of these materials by anyone other than the Me Plus Ultra company is strictly prohibited by law.

No Marketing to Participants

While networking in programs like this is common and is encouraged within Me Plus Ultra, you agree not to overtly promote your products and services to other Me Plus Ultra members, or to harvest contact information to add to your own marketing mailing or newsletter lists. This allows for a collegial conversation space, in the spirit of harmony, support and mutual respect.

Governing Law

This Agreement and performance hereunder shall be governed by the laws of the Commonwealth of Kentucky. Sole venue and jurisdiction for any proceedings under this Agreement shall be in the state and federal courts located in Jefferson County, Kentucky.

Force Majeure

Except for the Client’s timely obligation to pay fees, which obligation is unconditional, neither party shall be liable for its failure to perform any of its obligation under this Agreement during any period in which such party cannot perform due to matters beyond its control, including, but not limited to, strike, fire, flood, or other natural disaster; war, embargo or riot; or malicious website attacks or internet outages, provided that the party so delayed immediately notify the other party of such delay.

Relationship Between Parties

Nothing in this Agreement is to be constructed as creating a legal partnership, joint venture, business alliance, or any other similar relationship. In no event shall any party be deemed an employee of the other party by virtue of participation in Me Plus Ultra.

Entire Agreement and Amendment

This Agreement constitutes the entire agreement and understanding between the parties and supersede any prior agreement or understanding whether oral or written relating to the subject matter hereof. The headings used herein are for convenience only and shall not control or affect the meaning or construction of any provisions of this Agreement.

Payment Information

By signing below and choosing one of the Payment Plan options, you authorize Me Plus Ultra to charge your credit or debit card as payment for your one-year membership to Me Plus Ultra.

Furthermore, you agree that you are responsible for full payment of fees for the entire 12-month period for a Me Plus Ultra membership, regardless of whether you have selected the one-time installment or a payment plan option. To further clarify, if you choose a payment plan, all payments must be paid, according to the payment plan you select.

The investment for a one-year membership to Me Plus Ultra is $9,997.00 (that will auto-renew on your 12-month anniversary date) should you select the annual price, or $1,297.00 per month should you choose to pay over a 12-month period (monthly payments after 12-months will continue unless you notify Me Plus Ultra via email).

• I will pay my membership fee in one installment of $9,997. I understand that I am committing to being in the program for a full twelve (12) months and that I am solely responsible for my attendance and level of participation in the meetings and in the private Facebook Group. I understand that my membership includes a one-time upfront fee and will automatically renew every 12 months on the anniversary date of my initial enrollment. To cancel, you must notify Me Plus Ultra in writing via email before the next billing cycle. A courtesy email reminder will be sent to you prior to each automatic renewal charge.
